• AI strategy development and planning
• AI implementation and integration services
• Process automation solutions
• AI training and education programs
• Software development and technical consulting
• Ongoing support and maintenance services

Specific service details, deliverables, timelines, and pricing are defined in individual service agreements or statements of work.

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Not interfere with or disrupt our services
• Not attempt to gain unauthorized access to our systems

Our IP: All content, software, methodologies, and materials provided by Elegant Software Solutions remain our intellectual property unless otherwise specified in writing.

Your IP: You retain ownership of your proprietary data, business processes, and intellectual property shared with us during service delivery.

Developed Solutions: Intellectual property rights for custom AI solutions developed specifically for your organization will be defined in individual service agreements.

License to Use: We grant you a non-exclusive, non-transferable license to use our deliverables for your internal business purposes as specified in our agreements.

We understand the sensitive nature of business information shared during AI implementation projects. We commit to:

• Maintaining strict confidentiality of all client information
• Using client data only for authorized service delivery
• Implementing appropriate security measures to protect data
• Not disclosing confidential information to third parties without written consent
• Returning or destroying confidential information upon request

Detailed confidentiality provisions are included in our service agreements and NDAs.

Pricing: Service fees are specified in individual proposals and service agreements.

Payment Schedule: Payment terms vary by service type and project scope, typically including:

• Upfront deposits for project initiation
• Milestone-based payments for implementation projects
• Monthly billing for ongoing services
• Net 30 payment terms unless otherwise specified

Late Payments: Late payments may incur fees and could result in suspension of services.

The following terms apply if you opt in to receive SMS messages from Elegant Software Solutions, Inc..

Description of SMS Use Cases: We may send you text messages for appointment confirmations, consultation reminders, service notifications, verification codes, and (with separate opt-in) marketing and promotional communications about our AI training and enablement services.

Opt-Out Instructions: You may opt out of receiving SMS messages at any time by replying STOP to any message. You will receive a one-time confirmation that you have been unsubscribed. After opting out, you will no longer receive text messages from us unless you re-subscribe.

Message & Data Rates: Standard message and data rates may apply to any messages sent or received. Check with your wireless carrier for details about your plan.

Carrier Liability Disclaimer: Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your wireless carrier.

Age Restriction: You must be 18 years of age or older to opt in to our SMS messaging program. By opting in, you confirm you are at least 18 years old.

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party systems or services
• Damages exceeding the total amount paid for services in the preceding 12 months

This limitation applies regardless of the theory of liability, whether based on warranty, contract, statute, tort, or otherwise.

Professional Services: We warrant that our services will be performed in a professional manner consistent with industry standards.

Disclaimer: Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied.

AI Technology: AI and machine learning technologies are rapidly evolving. While we strive for accuracy and reliability, we cannot guarantee specific outcomes or performance metrics.

Either party may terminate services under the following conditions:

• With written notice as specified in the service agreement
• Immediately for material breach of terms
• For non-payment of fees
• If continuation of services becomes impractical or impossible

Upon termination, we will provide deliverables completed to date and return confidential information as specified in our agreements.

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or our services will be resolved through:

• Good faith negotiation between the parties
• Mediation if negotiation fails
• Binding arbitration in Atlanta, Georgia, if mediation is unsuccessful

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the new Terms.
